Job Description

Equitysmith Overview

Equitysmith is an investment banking and asset tokenization financing company positioned to revolutionize capital markets in the six largest economies across Latin America. By combining proprietary bridge-financing structures, including rapid-deploy warehouse facilities, with advanced capital sourcing expertise and agentic AI, Equitysmith bridges real-world assets (RWA) in Colombia, Brazil, Mexico, Chile, Argentina, Peru, and Uruguay with international liquidity.

We empower asset owners, developers, and institutions across LatAm to access debt and equity capital in weeks rather than months, creating unprecedented liquidity and efficiency in cross-border real estate, private equity, and infrastructure asset management.

The Opportunity

We are seeking an energetic and visionary Acting-CEO to lead our expansion and establish partnerships and client-facing relationships in key markets. This pivotal role offers a unique opportunity to shape the strategic direction of our innovative platform, focusing on digital asset tokenization, asset management, and financial technology solutions.

As the Acting-CEO, you will drive growth and oversee operational excellence across the region. Your leadership will empower us to revolutionize how assets are managed and traded in emerging markets, creating new opportunities for investors and institutions alike.

Key Responsibilities

1. LatAm Expansion & Deal Origination

  • Direct Equitysmith’s go-to-market strategy across key Latin American growth markets (e.g., Mexico, Colombia, Brazil, Chile, and Central America).
  • Source, negotiate, and mandate high-quality real-world asset (RWA) issuers across commercial real estate, private debt, and infrastructure.
  • Position Equitysmith’s speed-to-close competitive advantage (1–2 week warehouse bridge funding) to capture Tier-1 asset originators.

2. Structured Finance & Warehouse Line Oversight

  • Collaborate with strategic funding partners to manage and deploy 6- to 8-month warehouse facility lines.
  • Oversee transaction structuring to ensure all bridge financing costs, debt service, legal SPV setup, and origination fees are fully capitalized at the asset/SPV level.
  • Lead risk management, credit underwriting, and capital recycling workflows across 4- to 6-month tokenization windows.

3. Tokenization & Digital Asset Management

  • Oversee the end-to-end token issuance lifecycle, integrating smart-contract distribution rails with traditional special purpose vehicle (SPV) governance.
  • Ensure full regulatory compliance across jurisdictions, including cross-border investor KYC/AML, local security law exemptions, and international investor clearing.
  • Manage liquidity programs, secondary trading strategy, and tokenized asset servicing post-issuance.

4. Capital Raising & Investor Distribution

  • Build and cultivate a global network of family offices, institutional crypto funds, wealth managers, and accredited investors for primary token subscriptions.
  • Manage roadshows and distribution campaigns to ensure primary tokenization raises retire warehouse facility debt within 120–180 days.
  • Represent Equitysmith as the primary spokesperson at global RWA, fintech, and real estate investment conferences.

5. Corporate Governance & Strategic Leadership

  • Define organizational KPIs, build local deal-sourcing and compliance teams, and manage P&L for the LatAm business unit.
  • Serve as key advisor to the Board of Directors, presenting pipeline metrics, facility utilization schedules, and unit economic performance.

Required Qualifications & Experience

  • Executive Track Record: 10+ years of senior leadership experience in investment banking, real estate private equity, structured debt origination, or digital asset management, preferably with a focus on Latin American markets.
  • Capital Markets Expertise: Deep understanding of debt capital markets, warehouse facilities, SPV credit structures (*Patrimonio Autónomo*, trust structures, offshore vehicles), and asset-level debt mechanics.
  • RWA & Tokenization Knowledge: Proven familiarity with tokenization frameworks, security token offerings (STOs), decentralized finance (DeFi) institutional rails, and digital asset compliance.
  • Deal Sourcing Network: An established network of LatAm asset owners, real estate developers, institutional investors, and family offices.
  • Bilingual Proficiency: Native or full professional fluency in English and Spanish (Portuguese is a strong plus).
  • Education: Candidates with advanced degree (MBA, Master’s in Finance, or J.D.) or equivalent professional certifications (CFA, CAIA) will be given preference.

Key Competencies & Strategic Mindset

  • Financial Velocity Focus: Ability to execute high-volume deal structures, prioritizing capital turnover speed and high Return on Invested Capital (ROIC).
  • Entrepreneurial Execution: Thrives in a fast-paced environment where traditional finance rules intersect with Web3 innovation.
  • Cross-Border Regulatory Fluency: Navigates complex international securities regulation and cross-border capital flow tax dynamics with precision.

Compensation & Benefits

  • Executive Base Salary: Highly competitive cash compensation commensurate with experience.
  • Carried Interest & Equity Incentives: Significant equity upside in Equity Smith platform tokenomics and performance-based carried interest on deals executed.
  • Performance Bonuses: Deal-closing bonuses tied to transaction volume and warehouse capital velocity.
  • Flexible Work Structure: Remote-first flexibility with strategic travel across LatAm and key global financial centers.
