About the Role
Brand Engagement Network (BEN) is seeking an experienced General Counsel to lead the company’s legal function and serve as a trusted legal advisor to executive leadership.
As a Nasdaq-listed, global technology company, BEN operates in a fast-moving environment across the United States, Europe, and Asia-Pacific. This role will provide practical, business-focused legal guidance across corporate, commercial, regulatory, governance, and strategic matters while working closely with executive leadership, internal teams, and outside counsel.
The General Counsel will have significant visibility across the organization and will play an important role in supporting BEN’s continued growth, including commercial transactions, corporate governance, regulatory compliance, M&A, partnerships, privacy, AI, data protection, and intellectual property matters.
We are looking for someone who can balance strong legal judgment with a practical understanding of the business and who is comfortable operating in a dynamic, entrepreneurial environment.
Key Responsibilities
- Serve as a trusted legal advisor to executive leadership and business teams across the U.S. and BEN’s international operations
- Provide practical legal guidance across corporate, commercial, regulatory, and strategic matters
- Draft, review, and negotiate enterprise agreements, SaaS contracts, data licensing agreements, vendor contracts, partnership agreements, and other commercial arrangements
- Serve as the primary legal review and sign-off authority for U.S.-based contracts and agreements
- Lead corporate governance, entity management, and legal compliance for U.S. operations while coordinating with international teams and outside counsel
- Advise on privacy, data protection, artificial intelligence regulation, cybersecurity, and intellectual property matters
- Support public-company governance and compliance matters
- Partner with Finance, HR, Security, Product, Engineering, and other business functions on legal and risk matters
- Support mergers, acquisitions, financing activities, strategic transactions, and partnership integrations
- Manage and coordinate outside counsel, including specialized securities, M&A, regulatory, and other legal advisors
- Identify emerging legal and regulatory risks and provide timely, practical recommendations to leadership
- Oversee U.S.-based legal operations and supporting legal team members as the function grows
Required Qualifications
- Juris Doctor (JD) from an accredited U.S. law school
- Active admission and good standing with the bar of at least one U.S. jurisdiction
- 5+ years of relevant legal experience
- 3+ years of in-house legal experience
- Strong experience drafting and negotiating complex commercial agreements
- Experience with corporate governance and regulatory compliance
- Strong understanding of U.S. privacy, data protection, and intellectual property matters
- Demonstrated ability to provide practical, business-oriented legal advice
- Experience working directly with senior executives and cross-functional business leaders
- Excellent communication, organization, judgment, and problem-solving skills
Preferred Qualifications
- Experience with a Nasdaq-listed or other publicly traded company
- Experience in technology, SaaS, artificial intelligence, or data-driven businesses
- Experience supporting public-company governance and SEC-related matters
- Experience supporting M&A, financing, or other strategic transactions
- International legal experience, particularly across the U.S., Europe, and South Korea
- Experience with global privacy and data protection frameworks
- Experience working with distributed and cross-cultural teams
- Experience managing outside counsel and legal operations teams

Work Location: Remote
Pay: $200,000.00 - $250,000.00 per year
